These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Auros AI LLC d/b/a PathToApproval ("Company," "we," "us," or "our") governing your access to and use of the PathToApproval platform, including all content, features, and functionality available at pathtoapproval.com ("Platform").
By accessing or using the Platform, you represent that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Platform.
PathToApproval is a prior authorization (PA) readiness assessment and intelligence tool designed exclusively for licensed healthcare providers, physician offices, and their authorized administrative staff in connection with rare disease therapeutics ("Authorized Users"). The Platform provides:
CRITICAL LIMITATION: PathToApproval is a preparation and readiness tool only. The Platform does NOT submit prior authorization requests, guarantee insurance approvals, provide medical advice, or interact directly with payers on behalf of any user or patient.
The Platform is intended solely for licensed physicians and healthcare providers, physician office staff acting under the supervision of a licensed provider, and healthcare administrators involved in prior authorization workflows.
You may use the Platform solely for lawful, internal business purposes related to PA readiness. You agree not to:
THE PLATFORM DOES NOT PROVIDE MEDICAL ADVICE, LEGAL ADVICE, OR GUARANTEES OF INSURANCE COVERAGE OR APPROVAL.
All content is provided for informational and administrative reference purposes only. The Platform summarizes publicly available payer policies and does not constitute a determination of coverage, medical necessity, or clinical appropriateness. Healthcare providers retain full professional responsibility for all clinical decisions.
Payer clinical policy bulletins, coverage criteria, drug coding, and reimbursement information change frequently. We do not warrant that Platform content is complete, accurate, or up to date at the time of your use. Users are responsible for independently verifying payer criteria directly with the applicable payer prior to PA submission.
The Platform is designed to operate without the collection, storage, or processing of any protected health information (PHI) as defined under HIPAA. Users should not enter any patient-identifiable information into the Platform.
Future features may include authenticated user accounts and aggregate, de-identified usage analytics. Any such features will be implemented in compliance with applicable law and this Terms of Service will be updated prior to implementation. No patient-level data will be collected under any planned feature set.
You agree not to enter any PHI, patient names, dates of birth, insurance member IDs, or any other patient-identifying information into the Platform.
The Platform may include content or resources provided in collaboration with pharmaceutical manufacturer sponsors. Sponsor relationships are governed by flat-fee data services agreements that do not tie compensation to prescription volume, patient outcomes, or coverage determinations. Sponsors do not control or approve clinical criteria content. PathToApproval retains full editorial independence. Sponsor relationships are structured in compliance with applicable OIG guidance on anti-kickback considerations.
All Platform content, design, software, and data compilations are the proprietary property of Auros AI LLC d/b/a PathToApproval or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for the purposes described in these Terms. All underlying data sources are publicly available.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. AUROS AI LLC D/B/A PATHTOAPPROVAL DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
AUROS AI LLC D/B/A PATHTOAPPROVAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING PA DENIALS, REIMBURSEMENT LOSSES, OR ADVERSE PATIENT OUTCOMES. TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
You agree to indemnify and hold harmless Auros AI LLC d/b/a PathToApproval, its members, officers, and agents from any claims, liabilities, damages, and expenses arising from your use of the Platform or violation of these Terms.
We reserve the right to modify or discontinue the Platform at any time. Updated Terms will be posted with a revised effective date. Continued use constitutes acceptance of updated Terms.
These Terms shall be governed by the laws of the State of New York. Any dispute shall be resolved through binding arbitration administered by the American Arbitration Association, with proceedings in Albany, New York.
